Job Description:


Our client, a PNG Investment Company, is expanding operations and due to the growth, they now seek a suitable Company Lawyer and Board Secretary to join their team, based at their Port Moresby Office.

The Company Lawyer and Board Secretary will be responsible for providing advice on commercial transactions, overseeing governance and operations of the Board of Directors including managing legal risks, ensuring compliance with relevant laws and regulations.

Key responsibilities:
 
  • Provide timely and accurate legal advice on a wide range of commercial, corporate, and regulatory matters relating to business’ operations and investments.
  • Draft, review, and negotiate commercial agreements, including contracts, joint venture agreements, property leases, and partnership documents.
  • Assist in implementing policies and frameworks that promote accountability, transparency, and ethical decision-making within the organization.
  • Identify legal risks associated with investments and provide strategies for mitigation.
  • Develop and implement a risk management framework to assess, identify and address potential risks.
  • Liaise with government agencies, external counsel, auditors, and other stakeholders as needed.
  • Build strong relationships with joint venture and subsidiary partners to ensure smooth legal and commercial operations.
  • Manage Board related activities including scheduling meetings, preparation and circulation of agendas, distribution of meeting materials, accurate meeting-taking, and finalizing and circulating resolutions.

Requirements:
 
  • Bachelors Degree in Law, preferably in Commercial Law, from a recognized university. Postgraduate qualifications in corporate or commercial law will be an advantage.
  • Completion of legal training studies at Legal Training Institute (LTI) and admitted to practice law at all levels of the Courts of Papua New Guinea
  • At least 5 years of legal experience, preferably, with exposure to commercial law, corporate governance, with proven experience in advising on complex transactions and joint ventures
  • Experience working with investment funds, asset management, or resource-based industries is highly desirable.
  • Experience in Corporate Governance and Board Secretariat functions.
